We agree to provide you with the Zippit Service. The Service includes all of the Zippit products, features, applications, services, technologies, and software that we provide to advance Zippit's mission: To bring you closer to the people and things you love. The Service is made up of the following aspects (the Service):

• Offering personalized opportunities to create, connect, communicate, discover, and share.
  People are different. We want to strengthen your relationships through shared experiences you actually care about. So we build systems that try to understand who and what you and others care about, and use that information to help you create, find, join, and share in experiences that matter to you. Part of that is highlighting content, features, offers, and accounts you might be interested in, and offering ways for you to experience Zippit, based on things you and others do on and off Zippit.
• Fostering a positive, inclusive, and safe environment.
  We develop and use tools and offer resources to our community members that help to make their experiences positive and inclusive, including when we think they might need help. We also have teams and systems that work to combat abuse and violations of our Terms and policies, as well as harmful and deceptive behaviour. We use all the information we have-including your information-to try to keep our platform secure. We also may share information about misuse or harmful content with other Companies or law enforcement. Learn more in the Data policy.
• Developing and using technologies that help us consistently serve our growing community.
  Organizing and analyzing information for our growing community is central to our Service. A big part of our Service is creating and using cutting-edge technologies that help us personalize, protect, and improve our Service on an incredibly large scale for a broad global community. Technologies like artificial intelligence and machine learning give us the power to apply complex processes across our Service. Automated technologies also help us ensure the functionality and integrity of our Service.
• Providing consistent and seamless experiences across other Zippit Products/Services.
  Zippit shares technology, systems, insights, and information-including the information we have about you (learn more in the Data Policy) in order to provide services that are better, safer, and more secure. We also provide ways to interact across the Zippit Products/Services that you use, and designed systems to achieve a seamless and consistent experience across the Zippit Products & Services.
• Ensuring a stable global infrastructure for our Service.
  To provide our global Service, we must store and transfer data across our systems around the world, including outside of your country of residence. This infrastructure may be owned or operated by Zippit.
• Connecting you with brands, products, and services in ways you care about.
  We use data from Zippit Products/Services, as well as from third-party partners, to show you ads, offers, and other sponsored content that we believe will be meaningful to you. And we try to make that content as relevant as all your other experiences on Zippit.
• Research and innovation.
  We use the information we have to study our Service and collaborate with others on research to make our Service better and contribute to the well-being of our community.
• Website/App – Merely a Venue/Platform.
  The Web Site / App acts as a match-making platform for User(s) to negotiate and interact with other User(s) for entering into negotiations in respect thereof for sale or supply of goods or services. Zippit are not parties to any negotiations that take place between the User(s) of the Web Site and are further not parties to any agreement including an agreement for sale or supply of goods or services or otherwise, concluded between the User(s) of the Web Site / App.
  
  Zippit does not control and is not liable in respect of or responsible for the quality, safety, genuineness, lawfulness or availability of the products or services offered for sale on the Web Site / App or the ability of the User(s) selling or supplying the goods or services to complete a sale or the ability of User(s) purchasing goods or services to complete a purchase. This agreement shall not be deemed to create any partnership, joint venture, or any other joint business relationship between Zippit and any other party.
•  Intellectual Property Rights
  ZIPPIT is the sole owner and the lawful licensee of all the rights to the Web Site and its content ("Web Site Content"). Web Site Content means the design, layout, text, images, graphics, sound, video etc. of or made available on the Web Site. The Web Site Content embodies trade secrets and other intellectual property rights protected under worldwide copyright and other applicable laws pertaining to intellectual property. All title, ownership and intellectual property rights in the Web Site and the Web Site Content shall remain in ZIPPIT, its affiliates or licensor’s of the Web Site content, as the case may be.
  
  All rights, not otherwise claimed under this Agreement by ZIPPIT, are hereby reserved. Any information or advertisements contained on, distributed through, or linked, downloaded or accessed from any of the services contained on the Web Site or any offer displayed on or in connection with any service offered on the Web Site ("Website Information") is intended, solely to provide general information for the personal use of the User(s), who fully accept any and all responsibility and liabilities arising from and out of the use of such Information. ZIPPIT does not represent, warrant or endorse in any manner the accuracy or reliability of Website Information, or the quality of any products and/or services obtained by the User(s) as a result of any Website Information.
  
  For any content and or link uploaded to the Website by the User from Youtube, the User agrees to abide and accepts, the terms of service of Youtube, available at https://www.youtube.com/t/terms.
  
  The Information is provided “as is” with no guarantee of completeness, accuracy, timeliness or of the results obtained from the use of the Information, and without warranty of any kind, express or implied, including, but not limited to warranties of performance, merchantability and fitness for a particular purpose. Nothing contained in the Agreement shall to any extent substitute for the independent investigations and the sound technical and business judgment of the User(s). In no event shall ZIPPIT be liable for any direct, indirect, incidental, punitive, or consequential damages of any kind whatsoever with respect to ZIPPIT’s Services. User(s) hereby acknowledge that any reliance upon the Information shall be at their sole risk and further understand and acknowledge that the Information has been compiled from publicly aired and published sources. ZIPPIT respects the rights of such entities and cannot be deemed to be infringing on the respective copyrights or businesses of such entities. ZIPPIT reserves the right, in its sole discretion and without any obligation, to make improvements to, or correct any error or omissions in any portion of the Information.
• Termination
  most content and some of the features on the Web Site / App are made available to User(s) free of charge. However, Zippit reserves the right to terminate access to certain areas or features of the Web Site / App (to paying or registered User(s)) at any time without assigning any reason and with or without notice to such User(s). Zippit also reserves the universal right to deny access to particular User(s) to any or all of its services or content without any prior notice or explanation in order to protect the interests of Zippit and/ or other User(s) of the Web Site/App. Zippit further reserves the right to limit, deny or create different access to the Web Site and its features with respect to different User(s), or to change any or all of the features of the Web Site / App or introduce new features without any prior notice to User(s).
  Zippit reserves the right to terminate the membership/subscription of any User(s) temporarily or permanently for any of the following reasons:
  (a) If any false information in connection with their account registered with Zippit is provided by such User(s), or if such User(s) are engaged in fraudulent or illegal activities/transactions.
  (b) If such User(s) breaches any provisions of the Agreement.
  (c) If such User(s) utilizes the Web Site / App to send spam messages or repeatedly publish the same product information.
  (d) If such User(s) posts any material that is not related to trade or business cooperation.
  (e) If such User(s) impersonates or unlawfully uses another person’s or business entity’s name to post information or conduct business in any manner. 
  (f) If such User(s) is involved in unauthorized access, use, modification, or control of the Web Site database, network or related services.
  (g) If such User(s) obtains by any means another registered User(s) Username and/or Password.
  (h) Or any other User(s) activity that may not be in accordance with the ethics and honest business practices.
  If Zippit terminates the membership of any registered User(s) including those User(s) who have subscribed for the paid services of Zippit, such person will not have the right to re-enrol or join the Web Site under a new account or name unless invited to do so in writing by Zippit In any case of termination, no subscription/membership fee/charges paid by the User(s) will be refunded. User(s) acknowledge that inability to use the Web Site wholly or partially for whatever reason may have adverse effect on their business. User(s) hereby agree that in no event shall Zippit be liable to any User(s) or any third parties for any inability to use the Web Site (whether due to disruption, limited access, changes to or termination of any features on the Web Site or otherwise), any delays, errors or omissions with respect to any communication or transmission, or any damage (direct, indirect, consequential or otherwise) arising from the use of or inability to use the Web Site or any of its features.

The Data Policy

Providing our Service requires collecting and using your information. The Data Policy explains how we collect, use, and share information across the Zippit Products. It also explains the many ways you can control your information, including in the Zippit Privacy and Security Settings. You must agree to the Data Policy to use Zippit.

Your Commitments

In return for our commitment to provide the Service, we require you to make the below commitments to us.

Who Can Use Zippit. We want our Service to be as open and inclusive as possible, but we also want it to be safe, secure, and in accordance with the law. So, we need you to commit to a few restrictions in order to be part of the Zippit community.

• You must be at least 13 years old or the minimum legal age in your country to use Zippit.
• You must not be prohibited from receiving any aspect of our Service under applicable laws or engaging in payments related Services if you are on an applicable denied party listing.
• We must not have previously disabled your account for violation of law or any of our policies.
• You must not be a convicted sex offender.

How You Can't Use Zippit. Providing a safe and open Service for a broad community requires that we all do our part.

• You can't impersonate others or provide inaccurate information.
  You don't have to disclose your identity on Zippit, but you must provide us with accurate and up to date information (including registration information). Also, you may not impersonate someone you aren't, and you can't create an account for someone or some business unless you have their express permission.
• You can't do anything unlawful, misleading, or fraudulent or for an illegal or unauthorized purpose.
• You can't violate (or help or encourage others to violate) these Terms or our policies, including in particular the Zippit Community Guidelines, Zippit Platform Policy. Learn how to report conduct or content in our Help Center.
• You can't do anything to interfere with or impair the intended operation of the Service.
• You can't attempt to create accounts or access or collect information in unauthorized ways.
  This includes creating accounts or collecting information in an automated way without our express permission.
• You can't attempt to buy, sell, or transfer any aspect of your account (including your username) or solicit, collect, or use login credentials or badges of other users.
• You can't post private or confidential information or do anything that violates someone else's rights, including intellectual property.
   
• You can't use a domain name or URL in your username without our prior written consent.

Permissions You Give to Us. As part of our agreement, you also give us permissions that we need to provide the Service.

• We do not claim ownership of your content, but you grant us a license to use it.
  Nothing is changing about your rights in your content. We do not claim ownership of your content that you post on or through the Service. Instead, when you share, post, or upload content that is covered by intellectual property rights (like photos or videos) on or in connection with our Service, you hereby grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content (consistent with your privacy and application settings). You can end this license anytime by deleting your content or account. However, content will continue to appear if you shared it with others and they have not deleted it. • Permission to use your username, profile picture, and information about your relationships and actions with accounts, ads, and sponsored content.
  You give us permission to show your username, profile picture, and information about your actions (such as likes) or relationships (such as follows) next to or in connection with accounts, ads, offers, and other sponsored content that you follow or engage with that are displayed on Zippit Products, without any compensation to you. For example, we may show that you liked a sponsored post created by a brand that has paid us to display its ads on Zippit. As with actions on other content and follows of other accounts, actions on sponsored content and follows of sponsored accounts can be seen only by people who have permission to see that content or follow. We will also respect your ad settings.
• You agree that we can download and install updates to the Service on your device.

Additional Rights We Retain

• If you select a username or similar identifier for your account, we may change it if we believe it is appropriate or necessary (for example, if it infringes someone's intellectual property or impersonates another user).
• If you use content covered by intellectual property rights that we have and make available in our Service (for example, images, designs, videos, Products, Services or sounds we provide that you add to content you create or share), we retain all rights to our content (but not yours).
• You must obtain written permission from us or under an open source license to modify, create derivative works of, decompile, or otherwise attempt to extract source code from us.

Content Removal and Disabling or Terminating Your Account

• We can remove any content, information, products or services you share on the Service if we believe that it violates these Terms of Use, our policies (including our Zippit Community Guidelines), or we are permitted or required to do so by law. We can refuse to provide or stop providing all or part of the Service to you (including terminating or disabling your account) immediately to protect our community or services, or if you create risk or legal exposure for us, violate these Terms of Use or our policies (including our Zippit Community Guidelines), if you repeatedly infringe other people's intellectual property rights, or where we are permitted or required to do so by law. If we take action to disable or terminate your account, we will notify you where appropriate. If you believe your account has been terminated in error, or you want to disable or permanently delete your account, consult our Help Center.
• Content you delete may persist for a limited period of time in backup copies and will still be visible where others have shared it. This paragraph, and the section below called "Our Agreement and What Happens if We Disagree," will still apply even after your account is terminated or deleted.

Our Agreement and What Happens if We Disagree

Our Agreement.

• If you use certain other features or related services, additional terms will be made available and will also become a part of our agreement. For example, if you use payment features, you will be asked to agree to the Community Payment Terms. If any of those terms conflict with this agreement, those other terms will govern.
• If any aspect of this agreement is unenforceable, the rest will remain in effect.
• Any amendment or waiver to our agreement must be in writing and signed by us. If we fail to enforce any aspect of this agreement, it will not be a waiver.
• We reserve all rights not expressly granted to you.

Who Has Rights Under this Agreement.

• This agreement does not give rights to any third parties.
• You cannot transfer your rights or obligations under this agreement without our consent.
• Our rights and obligations can be assigned to others. For example, this could occur if our ownership changes (as in a merger, acquisition, or sale of assets) or by law.

Who Is Responsible if Something Happens.

• Our Service is provided "as is," and we can't guarantee it will be safe and secure or will work perfectly all the time. TO THE EXTENT PERMITTED BY LAW, WE ALSO DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
• We also don’t control what people and others do or say, and we aren’t responsible for their (or your) actions or conduct (whether online or offline) or content (including unlawful or objectionable content). We also aren’t responsible for services and features offered by other people or companies, even if you access them through our Service.
• Our responsibility for anything that happens on the Service (also called "liability") is limited as much as the law will allow. If there is an issue with our Service, we can't know what all the possible impacts might be. You agree that we won't be responsible ("liable") for any lost profits, revenues, information, or data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms, even if we know they are possible. This includes when we delete your content, information, or account.

Pharmaceutical Products/Services Policies.
 

• The Zippit App, Website does not facilitate the purchase of pharmaceutical products, and only advertises and/or showcases the pharmaceutical products posted by Users(s). User(s) involved in the purchase and supply of pharmaceutical products hereby agree to abide by and be compliant of any applicable laws, rules, regulations, notifications or orders issued by the Government of India or any of its agencies from time to time in this regard including but not limited to Drugs and Cosmetics Act, 1940, Drugs and Cosmetics Rules, 1945 ("Drug Rules"), Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954 ("Drug and Magic Remedies Act").
  
   
• Zippit shall not be responsible for any information, content or material in respect of or related to any pharmaceutical product posted, provided or displayed by User(s) on the Web Site. Accordingly, the User posting the content shall ensure that the content so posted does not violate any statue in the rules made there under including the Act(s) as referred above, so that no consequences of any nature could be attributed to Zippit in any manner whatsoever.
  
   
• Users(s) hereby undertake that they shall solely be responsible and shall bear all the liabilities in respect of selling prescription medicines and/or drugs mentioned in any of the Schedules of the Drug Rules without a prescription issued by a registered medical practitioner and in accordance with the conditions laid down in such rules. In the event of breach of such condition, Zippit shall not be liable and responsible in any manner whatsoever.
  
   
• Users(s) undertake and agree to indemnify and hold harmless Zippit  and/or any of its affiliates, directors, officers, employees or representatives from and against any and all losses, liabilities, damages, claims, costs and expenses (including attorney’s fees and expenses, any third party claims), which Zippit may incur or suffer as a result of or in connection with any illegal sales of drugs and/or medicines.
  
   
• Zippit does not offer any guarantees or warranties on the medicinal products or services displayed or listed on the App or Web Site and is not liable for any relevant transaction between the User(s), including transactions involving sale of any medicine(s) restricted and/or banned for sale by any governmental or any other regulatory authorities.

Verification of companies & blue tick verified accounts.

• The verification of each account will be done on the basis of proof of business they submit according to their government / country / state / city.
• The verification is not guaranteed by Zippit or any of its employees, in any kind of dispute Zippit will not be liable, the complete responsibility is of the user if any dispute, while making a transaction or in the case of any interaction with any of the profiles / Businesses Listed.
• We do not guarantee the verification of a company, there might be a case where the company is fraud listed, Zippit does not state liable in such cases or any such cases.
• Blue tick or verified companies are just on the basis of popularity of the profile & Zippit carries all the rights to if to give a blue tick to a company of not, and can take it back whenever it wants.

How We Will Handle Disputes.

If you are a consumer, the laws of the country in which you reside will apply to any claim, cause of action, or dispute you have against us that arises out of or relates to these Terms ("claim"), and you may resolve your claim in any competent court in that country that has jurisdiction over the claim. In all other cases, you agree that the claim must be resolved exclusively in the High Court Of Gujarat, Located at Sarkhej - Gandhinagar Hwy, Sola, Ahmedabad, Gujarat 380060 that you submit to the personal jurisdiction of either of these courts for the purpose of litigating any such claim, and that the laws of the Indian Government will govern these Terms and any claim, without regard to conflict of law provisions.

Unsolicited Material.

We always appreciate feedback or other suggestions, but may use them without any restrictions or obligation to compensate you for them, and are under no obligation to keep them confidential.

Updating These Terms

We may change our Service and policies, and we may need to make changes to these Terms so that they accurately reflect our Service and policies. Unless otherwise required by law, we will notify you (for example, through our Service) before we make changes to these Terms and give you an opportunity to review them before they go into effect. Then, if you continue to use the Service, you will be bound by the updated Terms. If you do not want to agree to these or any updated Terms, you can delete your account from the application, settings.
